Terms of service, refunds and cancellation
Last updated: 9 October 2026
1. Who we are and who we work with
These terms apply to every service sold by SGA — Selim Gharbi, sole trader, Steinhübel 23, 66123 Saarbrücken, Germany, contact@sgautomation.fr (“we”). Our services are designed for businesses, in Europe and in the United States. If you are a private individual, the consumer rules in section 6 also apply to you.
2. Quotes and orders
Every project starts with a free written quote, sent within 2 working days of your request. It describes the work, the price, the payment plan and the timing. A quote is valid for 30 days. The contract is made when you accept the quote in writing (email is enough). Any extra work outside the quote needs a new written agreement before we start it.
3. Prices and payment
- Customers in the European Union: prices are set in the quote, in euros, net. SGA does not charge VAT (small business scheme, § 19 UStG). For business customers established in another EU Member State, the reverse-charge mechanism applies: VAT, if due, is accounted for by the customer (Article 196 of Directive 2006/112/EC; in France, article 283-2 of the CGI).
- Customers outside the European Union (including the United States): prices are set in the quote, in US dollars (USD), net. Not subject to German VAT: place of supply outside Germany (§ 3a (2) UStG). We may ask for your company details (for example your EIN or a W-8BEN-E form) to document that you are a business.
- Accessibility reviews for customers outside the European Union: step 1 (store-wide scan) is paid in full on order; the full audit is paid 50 % on order and 50 % on delivery.
- Websites: 30 % on signature and the balance on delivery, or the full price in 3 interest-free monthly instalments, as chosen in the quote.
- Monthly services (website care plan, automation upkeep): billed monthly in advance. No minimum term: you can cancel at any time, effective at the end of the month already paid.
- Invoices are payable within 14 days by bank transfer, to the account named on the invoice. We send a reminder before taking any further step.
4. Delivery
The delivery time in the quote (for example 7 days for a website) starts when we have received the deposit and everything we need from you (texts, logo, photos, access). If content arrives late, delivery moves back by the same time. We tell you straight away if we see a delay on our side.
After delivery you have 14 days to check the work. We correct anything that does not match the quote, at no cost. For websites, 30 days of support after launch are included for any change you need within the agreed scope.
5. Refunds and cancellation
- Before work starts: you can cancel any project and your deposit is refunded in full within 14 days.
- After work has started: you can still stop the project. You pay only for the work already done, calculated from the quote; anything you paid above that is refunded within 14 days, and you receive the work done so far.
- If we are late: if we miss the agreed delivery date by more than 14 days for a reason on our side, you can cancel and every payment is refunded in full.
- If the work does not match the quote: we fix it for free. If we cannot, you can cancel and we refund the part that does not match.
- Monthly services: cancel at any time by email; the service stops at the end of the month already paid. A month already started is not refunded.
- Delivered diagnostics and reports: once delivered and matching the quote, they are not refundable, because the work is done.
Refunds are made by bank transfer, only to the account that paid.
6. Consumers: 14-day right of withdrawal
If you are a consumer (a private person acting outside your business), you can withdraw from the contract within 14 days of the day it was made, without giving a reason. Send us a clear statement by email to contact@sgautomation.fr or by post to the address above; you may use the model below, but you do not have to. We refund all payments within 14 days of receiving your withdrawal, using the same payment method.
If you asked us to start work during the withdrawal period, you pay an amount in proportion to what was done before you withdrew. If the service is fully provided within the 14 days at your express request, and you acknowledged that you would then lose your right of withdrawal, the right ends.
Model withdrawal form: “To SGA — Selim Gharbi, Steinhübel 23, 66123 Saarbrücken, contact@sgautomation.fr: I hereby withdraw from my contract for the following service: … Ordered on: … Name: … Address: … Date: … Signature (paper only).”
7. Ownership
Once the website is fully paid, the site, its code and the domain name are yours. We hand over all access on request. Fonts, photos and software from third parties stay under their own licences, which we tell you about. You confirm that you have the rights to the content you give us (texts, logos, photos).
8. Accessibility diagnostics
A diagnostic is a technical audit against WCAG 2.1 AA or WCAG 2.2 AA, as stated in the quote (and, where the quote says so, EN 301 549 and RGAA), carried out with automated tools and manual tests on the pages and states listed in the report. It is not a certificate of conformity and not legal advice. It records the technical failures observed on the audit date; websites change, and pages or parts not listed were not tested.
We give no legal advice and no assurance that claims or demands will not be made against you, in any country, before or after the audit or the fixes.
9. Automations and your data
Automations that use AI can make mistakes. We test each automation with your real cases before launch, and you stay responsible for checking what is sent in your name. When we process your customers’ personal data for you (for example emails or calls handled by an automation), we sign a data processing agreement with you (Art. 28 GDPR) before going live.
10. Liability
We are fully liable for damage caused intentionally or through gross negligence, for injury to life, body or health, and under the Product Liability Act. For slight negligence, we are liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment is necessary for the proper performance of the contract and on whose fulfilment you can normally rely, and only up to the damage typical and foreseeable for this kind of contract. These limits do not apply where the law does not allow them.
For business customers, our total liability under a contract is limited to the price paid under that contract, except for damage caused intentionally or through gross negligence, injury to life, body or health, and liability under the Product Liability Act.
11. Applicable law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you keep the protection of the mandatory rules of the country where you live. For businesses, including customers outside the European Union, the courts of Saarbrücken, Germany, have exclusive jurisdiction. If one clause is invalid, the others remain valid.
